1. License Grant

UpSpert Technologies LLC grants you a limited, non-exclusive, non-transferable, revocable license to:

  • Download and use the App on a device you own or control
  • Access the App’s WebView-based features
  • Use the Services strictly in accordance with this Agreement, the Privacy Policy, and the Terms of Service

You may not sublicense, sell, distribute, or make the App available to others.

2. Restrictions

You agree NOT to:

  • Reverse engineer, decompile, or attempt to extract the App’s source code
  • Modify, copy, or create derivative works of the App
  • Interfere with security features or attempt unauthorized access
  • Use automated bots or scraping tools
  • Upload harmful, unlawful, or deceptive content
  • Use the App in any way that violates laws or regulations

Any violation may result in immediate termination of your license.

3. Intellectual Property Rights

The App, website, tools, AI systems, visual assets, branding, and all related content are owned by UpSpert Technologies LLC or its licensors.

You acquire no ownership rights through use of the App.

4. WebView Content & Third-Party Services

The App loads content from:

  • UpSpert’s website
  • Third-party APIs
  • Authentication systems
  • AI processing systems
  • Hosting providers

UpSpert is not responsible for:

  • Availability of web content
  • Third-party performance
  • External systems that load within the WebView

Your use of such third-party content is subject to their respective terms.

5. AI-Generated Content Disclaimer

UpSpert uses AI technology to generate:

  • Revenue forecasts
  • Analytics
  • Business suggestions
  • Predictive insights

Such AI output may be inaccurate, incomplete, or unsuitable for specific use cases.

AI-generated content:

  • Is provided for informational purposes only
  • Is not financial, legal, or professional advice
  • Should not be the sole basis for business decisions

UpSpert Technologies LLC is not liable for decisions, losses, or outcomes based on AI-generated information.

6. User-Generated Content

You are solely responsible for:

  • Data you upload
  • Business metrics you input
  • Messages, text, and prompts you submit
  • Any content generated via your account

You warrant that any content you provide does not violate:

  • Laws
  • Privacy rights
  • Contracts
  • Intellectual property rights

7. Account Responsibility

If you create an account, you are responsible for:

  • Maintaining confidentiality of login credentials
  • All activity under your account
  • Ensuring submitted information is accurate

UpSpert may suspend or terminate an account for violations.

8. Updates & Changes

We may release updates to improve the App, modify functionality, or enhance security. Updates may:

  • Install automatically
  • Require manual installation
  • Change or remove features

Your continued use constitutes acceptance of updates.

9. Termination

We may terminate this Agreement at any time if you:

  • Breach these terms
  • Misuse the App
  • Attempt unauthorized access
  • Operate fraudulently

Upon termination:

  • Your license to use the App ends
  • You must discontinue use
  • We may disable access to some or all functionality

10. Disclaimer of Warranties

THE APP IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND.

WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

  • Fitness for a particular purpose
  • Merchantability
  • Accuracy
  • Reliability
  • Non-infringement
  • Error-free or uninterrupted operation

You use the App at your own risk.

11. Limitation of Liability

To the maximum extent permitted by law:

UpSpert Technologies LLC IS NOT LIABLE FOR:

  • Indirect or consequential damages
  • Loss of profits or revenue
  • Business interruption
  • Data loss
  • Errors in AI-generated results
  • Decisions made based on App content
  • Third-party failures or downtime

Our total liability shall not exceed the amount you paid, if any, for the App or $50, whichever is greater.

12. Governing Law

This Agreement is governed by the laws of the State of Ohio, without conflict-of-law principles.

Any disputes will be resolved exclusively in the courts of Cuyahoga County, Ohio.
